1. Acceptance of Terms

By accessing or using the BacktestIndia platform (the "Platform") at backtestindia.com and backtestindia.streamlit.app, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must immediately cease using the Platform.

By proceeding past the disclaimer checkpoint on our Streamlit application, you affirmatively acknowledge and accept these Terms in full. Your continued use of the Platform constitutes ongoing agreement to these Terms.

2. Educational Purpose & SEBI Regulatory Classification

What This Platform IS:

• A self-service educational tool for learning about quantitative factor investing strategies
• A historical data analysis platform providing statistical backtesting capabilities
• A resource for understanding systematic investment approaches through hands-on experimentation
• A tool for 100% user-defined strategies where YOU control all parameters

What This Platform IS NOT:

• NOT investment advice, portfolio management, or financial planning services
• NOT a SEBI-registered Investment Adviser
• NOT providing personalized recommendations or buy/sell signals
• NOT managing your investments or executing trades on your behalf
• NOT claiming fiduciary duty or knowledge of your financial situation

3. User Responsibilities & No Investment Advice

1. Independent Verification Required: You must independently verify all data, calculations, and backtest results before making any investment decisions. We make NO warranties regarding data accuracy.
2. Consult Qualified Professionals: For personalized investment advice tailored to your financial situation, risk tolerance, and goals, you MUST consult a SEBI-registered Investment Adviser. Find registered advisers at: www.sebi.gov.in
3. Market Risks: Securities investments are subject to market risks. Past performance shown on this Platform does NOT indicate or guarantee future results. Market conditions change unpredictably.
4. Hypothetical Results Only: All backtests are simulations based on historical data. They do NOT represent actual trading results, real portfolio performance, or guaranteed outcomes.
5. Your Sole Responsibility: Any investment decisions you make based on knowledge gained from this Platform are made at your own risk and sole responsibility. We have NO liability for your investment outcomes.
6. Tax & Legal Compliance: You are responsible for understanding and complying with all applicable tax laws, securities regulations, and legal requirements in your jurisdiction.

4. Limitation of Liability & Disclaimers

4.1 No Warranties

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Accuracy, completeness, or reliability of data, calculations, or backtest results
• Fitness for a particular investment purpose
• Merchantability or non-infringement
• Uninterrupted or error-free operation
• Freedom from viruses, bugs, or other harmful components

4.2 ZERO Liability for Investment Losses

BacktestIndia, its owner T. Desai, affiliates, data providers, and service providers SHALL NOT BE LIABLE for:

• Any investment losses, financial damages, or opportunity costs arising from use of this Platform
• Errors, omissions, inaccuracies, or delays in data or calculations
• Survivorship bias, data gaps, or historical data limitations
• Technical failures, downtime, or service interruptions
• Tax calculation errors or changes in tax laws
• Third-party actions or data provider failures

4.3 Limitation on Damages

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE SUBSCRIPTION FEES YOU PAID IN THE PRECEDING 12 MONTHS. We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or opportunity costs.

4.4 Indemnification

You agree to indemnify, defend, and hold harmless BacktestIndia, T. Desai, and our service providers from any claims, damages, or expenses (including legal fees) arising from:

• Your use or misuse of the Platform
• Your investment decisions or financial losses
• Your violation of these Terms
• Your violation of any third-party rights or applicable laws

5. Subscription Terms & Payment

5.1 Subscription Plans

BacktestIndia offers the following subscription options:

• Free Plan: 10 backtests per month using pre-built strategy templates
• Premium Plan: ₹399 per month (or ₹3,999 annually) for unlimited backtests and full customization

5.2 Payment Processing

Payments are processed securely through Razorpay. By subscribing, you authorize recurring charges to your payment method. You are responsible for maintaining valid payment information.

5.3 NON-REFUNDABLE Policy

5.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle. You will retain access until the paid period expires.

5.5 Price Changes

We reserve the right to modify subscription pricing with 30 days' notice. Existing subscribers will be grandfathered at their current rate for 6 months before new pricing applies.

6. Intellectual Property Rights

6.1 Copyright Protection

The BacktestIndia platform, including all software, algorithms, website content, blog articles, and educational materials, is protected by copyright.

6.2 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Platform for personal, non-commercial educational purposes
• Download and print blog articles for personal reference
• Export backtest results for your own analysis

6.3 Prohibited Uses

You may NOT:

• Reverse engineer, decompile, or extract our proprietary algorithms or source code
• Scrape, harvest, or systematically download our data
• Create derivative works or competing products based on our Platform
• Resell, sublicense, or redistribute access to the Platform
• Remove or alter copyright notices, watermarks, or attribution

6.4 Data Licensing

Historical market data is sourced from EODHD (EOD Historical Data) covering December 2006 to June 2025. This data is licensed for use on our Platform and may not be extracted or redistributed independently.

7. Data Sources, Limitations & Disclaimers

7.1 Data Coverage

Our Platform uses NSE-listed stock data from December 2006 to June 2025 sourced from EODHD Financial APIs.

7.2 Known Limitations & Biases

• Survivorship Bias: Data may exclude delisted or bankrupt companies, potentially inflating historical returns
• Look-Ahead Bias: Despite best efforts, backtests may inadvertently use future information not available at the time
• Data Errors: Historical data may contain errors, gaps, corporate action inaccuracies, or missing adjustments
• Market Microstructure: Backtests cannot perfectly simulate real-world liquidity, slippage, or execution challenges
• Tax Law Changes: Tax calculations use current 2024 rules; historical tax treatment may have differed
• Regulatory Changes: Market regulations, trading rules, and stock exchange policies have evolved over time

7.3 No Guarantee of Accuracy

WE MAKE NO REPRESENTATIONS OR WARRANTIES regarding the accuracy, completeness, timeliness, or reliability of any data, calculations, or backtest results. We assume ZERO responsibility for calculation errors, logical flaws, or methodological issues in our backtesting engine.

8. Account Termination & Suspension

8.1 Termination by You

You may terminate your account at any time by contacting us at backtestindia@gmail.com. Account termination does not entitle you to a refund of subscription fees.

8.2 Termination by Us

We reserve the right to suspend or terminate your account immediately without refund if you:

• Violate these Terms of Service
• Engage in fraudulent, abusive, or illegal activity
• Attempt to reverse engineer or scrape our Platform
• Dispute legitimate charges or abuse refund policies
• Create multiple accounts to circumvent subscription limits

8.3 Effect of Termination

Upon termination:

• Your access to the Platform will cease immediately
• Your saved strategies and backtest history may be deleted
• You remain bound by confidentiality, indemnification, and limitation of liability clauses

9. Governing Law & Dispute Resolution

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

9.2 Jurisdiction

You irrevocably submit to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India for resolution of any disputes arising from these Terms or your use of the Platform.

9.3 Arbitration (Optional)

By mutual agreement, parties may opt for binding arbitration under the Arbitration and Conciliation Act, 1996, to be conducted in Mumbai with English as the language of arbitration.

We reserve the right to modify these Terms at any time. Material changes will be communicated via:

• Email notification to registered users
• Prominent notice on the Platform homepage
• Updated "Last Modified" date at the top of this page

Your continued use of the Platform after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform and cancel your subscription.

12. Miscellaneous Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BacktestIndia regarding use of the Platform.

12.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any successor entity without restriction.

12.5 Force Majeure

We shall not be liable for any failure to perform our obligations due to causes beyond our reasonable control, including natural disasters, wars, pandemics, government actions, internet outages, or third-party service failures.
